DRI Healthcare Vendor Code of Conduct and Ethics  

DRI Healthcare is committed to conducting business activities in the highest ethical and  professional manner. DRI Healthcare considers methods to implement practices that align its  corporate operations with the universal principles on human rights, labour, the environment and  anti-corruption. As such, DRI Healthcare expects all companies and individuals which supply  goods, materials, or services to DRI Healthcare (“Vendors”) to seek to adhere to these same  standards and principles or their equivalent. This DRI Healthcare Vendor Code of Conduct and Ethics (“Code”) outlines the minimum expectations and standards of all DRI Healthcare Vendors in  relation to human rights, equity, inclusion and diversity, environmental sustainability, and integrity,  ethics, and anti-corruption in their management practices.  

This Code is not to be read in lieu of, but in addition to, the Vendor’s obligations as set out in any  contracts between DRI Healthcare and the Vendor. In the event of a conflict between this Vendor  Code of Contract and Ethics and an applicable contract, the contract will govern. This Code  replaces any previous code of conduct and/or code of ethics previously adopted by DRI Healthcare. 


Human Right and Labour Practices 

DRI Healthcare expects its Vendors to maintain processes to identify, manage, and prevent adverse  human rights impacts that could arise from their operations and to demonstrate respect for human  rights in line with the expectations outlined in the UN Global Compact Ten Principles. More  specifically, DRI Healthcare expects its Vendors to:

  • Provide a safe and secure workplace for their employees that fully complies with all health and safety laws, regulations and practices. 
  • Fully comply with all applicable laws and regulations when setting employee conditions on working hours, benefits and wages (such as minimum legal wages). 
  • Fully comply with all applicable child labour laws and only employ workers who meet the minimum legal age for that jurisdiction. Where local laws do not exist or are less stringent than the International Labour Organization (“ILO”) minimum age convention, DRI Healthcare expects Vendors to comply with ILO standards. The use of legitimate workplace apprenticeship programs, which comply with all laws and regulations, is permitted. 
  • Not to use any involuntary labour, such as slave, forced, bonded, indentured or prison labour and not be involved in any human trafficking or exploitation. 
  • Manage their employees in a fair and ethical manner and assure that all employees are treated with dignity and respect. DRI Healthcare expects our Vendors to maintain a workplace that is free from unlawful discrimination and harassment in any form. 

 

Equity, Inclusion, and Diversity: 

DRI Healthcare expects Vendors, in accordance with all applicable local ordinances and laws, to  afford equal opportunity to all qualified applicants and existing employees without regard to race,  religion, color, national origin, sex (including pregnancy and gender identity), sexual orientation,  age, ancestry, physical or mental disability, marital status, political affiliation, citizenship status,  genetic information, other protected status or any other basis that would be in violation of any such  ordinance or law. 


Integrity, Ethics, and Anti-Corruption 

DRI Healthcare expects its Vendors to act and conduct themselves in the highest ethical manner in  all business dealings and interactions. DRI Healthcare expects all Vendors to:  

  • Comply with applicable laws, rules, and regulations, including, but not limited to, those  relating to whistleblowing, insider trading, and/or labour or employment regulations. 
  • Disclose to DRI Healthcare any potential or perceived conflicts of interest in relation to any  bid, proposal, ongoing service or account management. 
  • Refrain from offering or making any payments of money or gifts to DRI Healthcare  employees, customers, government officials, political parties, candidates for public office,  or other business-related parties that could be considered to improperly influence business  decisions.  
  • Maintain accurate books and records in accordance with applicable laws, regulations, and  accepted accounting practices. 
  • Comply with anti-competition and antitrust laws and are prohibited from fixing prices,  colluding or rigging bids with competitors, allocating customers or markets with  competitors, or exchanging any pricing information with our competitors.  
  • Refrain from engaging or attempting to engage in any other corrupt or otherwise unethical  business practices. 

 

Compliance with this Code and Applicable Laws and Regulations 

DRI Healthcare requires all its Vendors to fully comply with all laws and regulatory requirements  applicable to such Vendor’s business activities. If the Code conflicts with local laws or ordinances,  DRI Healthcare expects our Vendor to notify DRI Healthcare of any such conflict in a timely manner  and communicate how the Vendors is planning to adhere to the general principles articulated in the  code and operate in an ethical and responsible manner. Vendors are responsible for adhering to the  Code. Vendors are expected to immediately disclose to DRI Healthcare in writing any material  deviation from the expectations described in this Code. We define a material deviation as conduct  that deviates from the Code, which could be reasonably expected to affect the ability of the Vendors to provide the agreed products or services to DRI Healthcare, lead to regulatory fines,  penalties or sanctions for the Vendors or DRI Healthcare, or negatively affect the Vendor’s or DRI  Healthcare’s reputation. DRI Healthcare requests that Vendors share this Code with the individuals  assigned to perform work for, or on behalf of, DRI Healthcare and expect Vendors to adequately  train their employees on its requirements. 


Reporting Potential Violations
Vendors with any knowledge of any actual or potential violations of  the terms and conditions of this Code or applicable laws and regulations can be reported  anonymously and confidentiality via: https://www.integritycounts.ca/org/drihealthcare. This  platform is available 24 hours a day, 7 days a week.
